History The firm was organized by Clay Caroland. His experience represents hundreds of transactions approaching a billion dollars. His financial roles range from providing founder's capital to managing dozens of public offerings, acquisitions and private placements.

Sharing Investment Risks & Rewards We believe that the firm’s merchant bank structure optimizes its responsiveness to clients and investors. Like an investment bank, where compensation is closely tied to closing transactions, the firm approaches each engagement with a keen, short term, transactional focus; no closing, no investment. In addition, unlike an investment bank but like an investment fund, our compensation is often linked to equity performance, and the money in the deal is sometimes our own; no investment performance, no return.
By sharing investment risks and rewards with our clients and their investors, we bring three valuable dynamics to bear. First, sharing in equity fosters a community of interests, trust and respect among the parties. For example, we are generally asked to advise, and often to join, boards of directors. Second, with a continuing interest in the ongoing success of the business, decision making tends to be strategic and value centered rather than transactional in nature. Third, equity ownership provides a mechanism for converting some of the intangibles we represent, such as business insight and contacts, into exceptional value for our clients, their investors and the firm.
